Maxwell D. Rosenthal is the ideal outside general counsel. His legal experience with employment, labor, general corporate, and dispute resolution matters position him to be an effective advisor and advocate for businesses of all sizes. The foundation of Max’s practice is strong client relationships built through hard work, trust, individualized attention, constant communication, and delivering strategies tailored to each client’s specific needs.

As an Associate in the Labor and Employment Practice Group, Max represents businesses and high-level executives in employment matters from day-to-day counseling to complex litigation. He frequently advises and litigates on matters in involving hiring, firing, policy-drafting, restrictive covenants, discrimination, and wage and hour issues. He also handles traditional labor relations matters including union representation campaigns, collective bargaining negotiations, discipline and grievance arbitrations, and proceedings before the National Labor Relations Board.

As a litigator, Max handles general commercial disputes including breach of contract, corporate governance, partnership and shareholder issues, business fraud, negligence, unfair competition, consumer protection claims, construction, and real property litigation. While he is well-versed in litigation strategy and courtroom advocacy, Max brings his collaborative personality to each dispute and strives to work with opposing counsel to fashion creative and cost-effective resolutions.

Max also represents individuals and start-up businesses in general corporate and business matters such as negotiating consulting agreements, operating and shareholder agreements, partnership agreements, non-disclosure agreements and work-for hire agreements. He focuses on helping businesses grow through thoughtful arrangements and strategies, while avoiding potential obstacles and limiting exposure.

Max is the author of The Bridge: How to Launch Your Career through a Legal Internship, a book for law students to be published by Lexis Nexis in September 2015. He is a frequent speaker at law schools on topics related to career development and experiential learning. He also heads the firm’s Legal Internship Program.

As an undergraduate, Max was an Honor Athlete as a member of the University of Maryland Varsity Football Team.

Community Involvement

Max is a Volunteer Mentor and Program Associate for the Development School for Youth (DSY), an innovative leadership and business training program that prepares inner-city youth to enter the professional workforce.  In his role with the DSY, Max leads the firm’s participation including managing the firm’s summer DSY internship and coordinating mock interviews with DSY students and the firm’s attorneys.
