Rachel S. Fleishman - Counsel
Rachel S. Fleishman is Counsel to Tarter Krinsky & Drogin LLP. Ms. Fleishman has litigated cases concerning a broad array of complex commercial disputes, with an emphasis on securities litigation, contract disputes and regulatory enforcement. She has represented clients in all aspects of these matters in federal and state courts throughout the United States. Ms. Fleishman has also represented clients in numerous matters involving SEC, NASD and criminal investigations. Representations handled by Ms. Fleishman have included:
- Defending a major broker-dealer in class action litigation accusing the broker-dealer of fraudulent sales practices in connection with the sale of interests in limited partnerships.
- Conducting an internal investigation of a financial services company to determine whether the company’s practices with respect to handling abandoned property complied with applicable law.
- Representing the Special Committee of a Board of Directors investigating the merits of derivative claims alleging that the company had paid an inflated sum to purchase certain assets in an interested director transaction.
- Representing a class of shareholders in litigation against a failed telecommunications company that plaintiffs alleged had fraudulently misrepresented its financial condition to investors and obtaining a $30 million settlement on behalf of the shareholders.
- Representing a class of taxpayers in litigation against a major accounting firm that plaintiffs alleged had misrepresented fraudulent tax shelters as legitimate and lawful tax planning devices and obtaining a settlement valued at approximately $200 million.
- Representing a manufacturing company in a contract dispute concerning royalties due under a technology license agreement.
- Defending a mortgage lender in connection with state and federal law claims alleging that the mortgage lender participated in so-called “equity stripping” schemes.
- Representing small business owners in connection with wage and hour claims asserted by former employees.

Ms. Fleishman is a member of the Section on Litigation of the American Bar Association, and a past Co-Chair of the Class Actions and Derivative Suits Subcommittee. Ms. Fleishman is also a member of the New York City Bar Association.
Prior to becoming Counsel to Tarter Krinsky & Drogin LLP, Ms. Fleishman was a partner with Milberg Weiss & Bershad, LLP, and Special Counsel with Fried, Frank, Harris, Shriver & Jacobson, LLP. Ms. Fleishman served as a law clerk to the Hon. Jed S. Rakoff, United States District Judge for the Southern District of New York.
Ms. Fleishman received her Juris Doctor, cum laude, from St. John’s University School of Law, in 1992, graduating in the top 2% of her class. Ms. Fleishman was an Articles Editor of the St. John’s Law Review. Ms. Fleishman received her Bachelor of Arts from New York University in 1989.
Ms. Fleishman is admitted to practice in the states of New York and Massachusetts, and before the federal courts in the Southern, Eastern and Western Districts of New York and the Sixth and Eleventh Circuit Courts of Appeal.
