Thomas G. Huszar is Counsel to Tarter Krinsky & Drogin LLP. His practice focuses on playing the role of “outside general counsel” to private companies and New York City cooperatives and condominiums. He provides practical advice to business owners and management in support of their operational needs and in the planning and execution of strategic initiatives.
Mr. Huszar advises in the areas of business and general corporate law, mergers and acquisitions, limited liability company and partnership law, contract law, cooperative and condominium law, and construction law. His clients are primarily middle market or emerging companies in the manufacturing, retail, real estate, construction, consulting and restaurant/food services industries.
Mr. Huszar’s experience ranges from handling large M&A matters for publicly traded clients to representing buyers, sellers, borrowers and investors in a number of private equity and financing deals as well as in joint ventures and other strategic relationships. His professional accomplishments include:
- Representing an oil refiner and marketer in a $6 billion merger with and into a competing company.
- Representing major utilities in a number of asset acquisitions and sales with deal values between $200 million and $1.5 billion.
- Representing several investors in private restructuring and recapitalization transactions with deal values ranging from $50 million to $250 million.
- Handling dozens of smaller transactions from letter of intent stage through closing for private equity and venture capital clients.
Mr. Huszar is a member of the Association of the Bar of the City of New York.
Early in Mr. Huszar’s career, he was associated with the New York City offices of national firms Jones Day and Parker Chapin LLP (n/k/a Troutman Sanders LLP), where he actively participated in the negotiation and closing of more than 50 separate transactions and business combinations. Immediately before joining Tarter Krinsky & Drogin, Mr. Huszar was Counsel at Braverman & Associates, P.C., where he helped represent the boards of more than 120 New York City cooperatives and condominiums.
