Arthur Zagorsky is a Partner at Tarter Krinsky & Drogin LLP focusing on business, corporate and real estate transactions. His areas of concentration include: mergers and acquisitions; real estate leasing and acquisitions; sophisticated corporate and real estate financing; formation and structuring of entities; shareholder, operating and partnership agreements; employment and severance agreements; commercial contracts; licensing agreements; and corporate governance.
Mr. Zagorsky represents a broad range of clients from individual entrepreneurs to start-up companies to publicly-held companies, and frequently acts as general counsel to his clients. He has represented sellers and purchasers in company, asset and stock purchases in a variety of industries, including staffing, steel and commodities trading, mortgage brokerage, garment/apparel, fitness clubs and media.
Representations handled by Mr. Zagorsky have included:
- Representing New York Mortgage Company in several acquisitions of 15 full-service and 26 satellite retail mortgage banking offices located in Northeast and Mid-Atlantic states, from Guaranty Residential Lending, Inc., including a pipeline of approximately $300 million in mortgage applications in conjunction with the branch acquisitions, the assumption of leases and certain contract obligations, and the hiring of hundreds of employees.
- Representing one of the world’s largest privately-owned steel trading companies in its acquisition of several New York, Ohio, Illinois and Florida-based steel service companies, as well as in several other U.S.-based transactions.
- Representing the owner of a medical office building development in long-term leases with a New York City hospital, its affiliates and subtenants, as well as in the sale of property and a 1031 exchange.
- Representing borrowers in loan and revolving credit facilities ranging from $50,000 to $35 million.
- Representing national and local tenants and landlords, including publicly-traded mortgage and insurance brokers, in dozens of leasing transactions involving properties from 2,000 to 50,000 square feet.
Mr. Zagorsky is a member of the New York State Bar Association, the American Bar Association and the Association of the Bar of the City of New York. He is also a member of the Board of Directors of the Executive Business Network Associates.
Prior to joining TKD in 2002, Mr. Zagorsky was an Associate at Healy & Baillie, LLP and Shack Siegel Katz Flaherty & Goodman PC, both of which merged with Blank Rome LLP in 2006 and 2005, respectively.Mr. Zagorsky is fluent in Russian. He enjoys skiing, tennis and travel.
