Bob Polifka handles sophisticated and complex commercial transactions and business matters for a broad array of domestic and international clients. He also functions as an outside general counselor to closely held companies in a variety of business fields.
Bob’s transactional work includes the purchase and sale of businesses and business assets, the negotiation and drafting of shareholder, partnership and other internal governance agreements, construction and architect/engineering services agreements (variously representing design professionals, contractors, subcontractors and owners), employment agreements, general and secured lending agreements, complex commercial contracts, leasing of commercial space, and the purchase and sale of real estate. He has played a critical role in developing and implementing long-term strategies for the restructuring of companies in dire financial circumstances, for the separation of business partners, and for the merger and, where necessary, divestiture of business entities.
Bob has served as a volunteer Special Master in New York State Supreme Court and New York City Civil Court, where he has assisted judges in deciding motions and recommending and structuring compromises between and among opposing counsel. He has also been appointed a Special Referee in New York State Supreme Court to hear and determine matters requiring his commercial expertise. He also served as Chair of the New York County Lawyers’ Association Special Masters Committee.
