Cindy M. Belvisi is Counsel at Tarter Krinsky & Drogin and a member of the firm’s French Practice. Fluent in English, French, and Italian, she represents U.S. and international companies, helping them navigate the legal and business considerations involved in doing business in the United States.
As transaction counsel, Cindy advises clients on the structuring and execution of acquisitions and sales of businesses across a range of industries, including drafting and negotiating definitive and ancillary transaction documents, and guiding transactions through signing and closing. Working closely with her clients’ financial and other advisors, Cindy identifies and evaluates legal and transactional issues and advises clients on the allocation of risk and the practical implications of key deal terms.
Her practice also includes general corporate counseling on corporate governance, entity management and other day-to-day corporate and commercial contractual matters. This combination of transactional and ongoing counseling enables Cindy to understand her clients’ businesses and to advise them beyond a single deal on their broader corporate needs, enabling Cindy to serve as a trusted outside general counsel for her clients’ ongoing corporate and commercial needs.
Cindy tailors her approach to each client’s level of transactional experience, takes the time to explain the implications of key deal terms, and focuses negotiations on the issues most significant to the transaction. She is drawn to M&A because it combines legal analysis and negotiation with commercial judgment and requires counsel to understand each client’s business and transaction objectives. For Cindy, the most satisfying result is a successfully completed transaction in which the client understands the negotiated terms, the allocation of risk and the business implications of the deal.
Cindy’s background includes law firm, in-house and mission-driven legal experience. These roles provided her with practical experience addressing contractual, governance and compliance matters, as well as an understanding of her clients’ business perspectives and objectives.
