Guy Molinari is a partner and Co-Chair of the Firm’s Corporate, Securities, and M&A Practice.

With over 25 years of securities and mergers and acquisitions experience and an MBA, Guy’s practice focuses on advising growth companies and their leaders, and private and institutional investors on strategic transactions. Clients appreciate Guy’s advice as a trusted advisor on their corporate matters and creative approach to problem solving.

Guy has a deep bench of experience across all stages of development including financing and refinancing/restructuring, whether in public or private; equity or debt markets; business combination transactions; going public and going private transactions; and contests for corporate control.

Guy also advises family offices and other investors in distressed and developing businesses, as well as multi-strategy investment funds. He also served as general counsel for Northern Power Systems, Inc. in connection with its emergence from bankruptcy proceedings and turnaround.

Representative Matters:

  • Represented Special Purpose Acquisition Company in its $170 million in initial public offering.
  • Represented seller in the sale of its computer software and services company.
  • Represented the merging credit union in $400+ million combination with one of the nation’s largest credit unions.
  • Represented a public international manufacturing company in its underwritten public offering of $9 billion aggregate principal amount of senior notes, as well as the exchange offers for an aggregate $3.5 billion of notes in connection with a merger with another industry participant.
  • Represented investment funds and investment managers focused on global macro, event driven, distressed, real estate opportunity, shareholder activist and leveraged debt product strategies.
  • Represented a private equity fund and controlling stockholder of public web hosting company in sale to industry leading cable and telecoms company.
  • Served as outside counsel to emerging and growth technology companies in capital raising efforts, contract management, and corporate governance matters.
  • Represented a cross-border investment fund in real estate developments.
  • Served as general counsel to wind turbine design and manufacturing company, advising CEO’s team on capital raises, intellectual property portfolio matters, supply chain management, human resources and investor relations; supported Board and various Board Committees in corporate governance matters.
  • Represent numerous buyers and sellers of renewable energy projects.

Prior to joining the Firm, Guy was a partner at Heller Ehrman (and its predecessor firm Werbel & Carnelutti) and at Kilpatrick Townsend & Stockton, where he served as a partner and counsel.
