Mauro Viskovic is a partner and Co-Chair of the Firm’s Corporate, Securities, and M&A Practice. Leveraging his CPA background, Mauro has robust knowledge on growth and financial strategies for businesses that allow him to provide clients with sophisticated guidance on their M&A and corporate matters. Clients rely on his integrated and detailed approach to navigate through critical periods in their company’s life cycle.
Mauro represents entrepreneurs, venture capital firms, hedge funds, private equity firms, family offices, investors, and other financial services professionals on all types of corporate deals and matters, including mergers and acquisitions, business formations, corporate governance, investments, commercial transactions, and corporate finance transactions. Mauro has handled transactions in a wide variety of industries, including financial services, healthcare, software, e-commerce, hospitality, and media/entertainment.
Additionally, Mauro has close ties with the Croatian start-up business community, allowing him to counsel individuals and businesses on establishing or expanding their ventures in the U.S., negotiating with prospective investors, and leveraging opportunities to scale their businesses.
Corporate and M&A
Strategizing with clients on corporate, securities, and M&A opportunities, Mauro brings a dedicated and sophisticated approach to deals in order to optimize outcomes for his clients and smoothly handle any challenges that appear throughout the deal. He advises and negotiates on the full cycle of deals, including:
- Leading early-stage term sheet negotiations
- Advising on transaction structure
- Identifying and resolving regulatory concerns
- Conducting and organizing due diligence investigations
- Drafting, reviewing, and negotiating asset purchase agreements, stock purchase agreements, merger agreements, and related ancillary agreements and contracts
- Facilitating creative solutions to transaction roadblocks in order to achieve the successful closings of M&A transactions

Mauro works closely with hedge funds, family offices, portfolio managers, and other financial services professionals on a variety of matters, including:

- Handling the launch of a new firm
- Employment agreements and restrictive covenant agreements
