Robert Lee is counsel in the Firm’s Corporate, Securities, and M&A Practice. Leveraging his fluency in Mandarin, Robert advises Chinese-based companies on transactional and corporate matters that arise from the U.S. and cross-border business.
Robert represents clients across a broad range of commercial transactions, securities offerings, equity and debt financing, capital market matters, and corporate governance issues, including:
- Advising entrepreneurs on corporate formation and legal entity structure
- Coordinating transactional due diligence for complex M&A and financing transactions
- Drafting and negotiating complex asset and equity purchase agreements in cross-border transactions
- Drafting private placement memoranda and limited partnership agreements for private offerings
- Negotiating NVCA agreements for venture capital financing transactions
- Preparing registration statements under Regulation S-K and Regulation A+ for public offerings
As a licensed FINRA Series 24 Registered Principal, Robert also has performed regulatory supervision and controls on behalf of front office sales and trading managers at a major broker-dealer.
