Mark N. Aloia is Chair of the Firm’s Real Estate Practice and a partner in the Construction Practice. Mark represents clients in a variety of commercial real estate transactions, including leasing (both landlord and tenant), financing, sales and purchases, joint ventures, ground leases, recapitalizations, and other sophisticated transactions throughout the country and in connection with all property types.

Mark also counsels partners, developers, contractors, and lenders on construction law issues advising on financing and developing mixed-use and multi-family residential projects, office buildings, shopping centers, infrastructure, schools, and cultural institutions.

For almost two decades, Mark served as Business Unit General Counsel at Aegon USA Realty Advisors, LLC, the real estate asset manager of the global insurance company Aegon/Transamerica. In this role, Mark was the lead U.S. equity real estate attorney, supervising and managing the purchase, sale, development, leasing, and operation of a large national portfolio that included performing retail, office, and warehouse properties, as well as distressed assets and loans. Additionally, Mark oversaw the commercial mortgage transactions for the Northeast region.

Representative Matters:

• Represented developer in recapitalization of construction project taking out JV partner and construction lender, and refilling the capital stack with a new loan, ground lease and crowdfunding capital sources.
• Represented owner in the acquisition and financing of a 1 million rsf Texas office tower.
• Represents an international real estate company as landlord in its leasing of office space throughout midtown Manhattan.
• Represents a major university’s medical college in numerous leases of general and medical office space, imaging space and educational centers and in other real estate related matters throughout New York City.
• Represented global educational concern in the construction and leasing of a day care center and school within a newly constructed residential condominium.
• Represented German company in the sale of a shopping center in Indiana.
• Represented Belgian retailer in connection with lease of midtown space.
• Represented a fund in the joint venture acquisition of an equity interest in 11 retail properties in Brooklyn held by an investment bank as a foreclosing mezzanine lender, which included the negotiation of a mezzanine loan assignment in lieu and the modification of an existing construction loan in excess of $200mm.
• Acted as special real estate counsel to developer in connection with a ground lease amendment, a complex organizational restructuring and recapitalization, a $145 million construction and mezzanine financing and an amendment to hotel management agreement for a boutique international luxury hotel development in TriBeCa.
• Represented institutional lender in a deed-in-lieu transaction on a ground leased parcel in Nassau County, New York.
• Represented a developer in the acquisition and redevelopment of a midtown office building through a joint venture.
• Represented a bank in a construction loans in New York City.
• Represented a major financial institution as landlord in multiple lease transactions in a suburban office parks in North Carolina and Connecticut.
• Represented a general contractor in the renovation of a converted loft building in downtown New York.
• Represented landlord in connection with the leasing of high-visibility midtown retail space to an international restaurant group new to the New York City market.
• Represented international school in its 20-year lease for the entire 10-story, 620,000 square foot unit in downtown Brooklyn.
• Represented major television network taking space under two leases totaling approximately 85,000 square feet in downtown Brooklyn and other leasing activity in Florida.
• Represented an institutional joint venture partner in the leasing, redevelopment, subdivision, and sale of a single tenant office building situated in a condominium office park.
• Represented a fund in the sale of a research center near a major university in Oregon.
• Represented major developer in redemption transaction involving an apartment building in Manhattan and a development site in Queens, New York.
• Represented a foreign investment group in the acquisition of two buildings in Philadelphia, through a joint venture/recapitalization and tenancy in common transfer.
